(ACOs) generated more than $138 million in gross savings in 2021. As a result of their strong
performance in the Medicare Shared Savings Program, community hospitals and their affiliated
physicians earned more than $59 million in shared savings payments. The Company also
announced that it has surpassed its target for new ACO bookings in 2023 due to the strong
performance and the combined capabilities of Signify Health and Caravan Health.

outcomes-based payment models – our dedicated population health management leads to
quality care while saving money for Medicare,” said Kyle Armbrester, Signify Health CEO. “Our
approach and track record has resonated with our clients, allowing us to achieve record ACO
sales for 2023 and to surpass 700,000 lives under management in 2023, with nearly 70% of
attributed lives expected to be in Enhanced tracks. I’m excited to bring Signify’s in-home

Signify Health’s success-based pricing model, with no upfront fees, effectively minimizes
downside risk and has resulted in all Collaborative ACOs earning MIPS scores of 100% and the
maximum positive payment adjustment. MIPS, the Centers for Medicare & Medicaid Services’ value-based measurement program, adjusts Medicare payment rates based on healthcare quality and outcomes.

In 2022, Signify aligned with more than 29,000 providers across more than 40 states,
representing more than 500,000 covered lives. Provider organizations participating in Signify’s

DALLAS & NEW YORK – July 8, 2022 – Signify Health, Inc. (NYSE: SGFY) today announced that it is winding down its Episodes of Care Services (ECS) segment in order to focus on its fast-growing and profitable Home and Community Services (HCS) business and recent Caravan Health acquisition. The Company is exiting CMS’ Bundled Payments for Care Improvement-Advanced (BPCI-A) program in light of the newly released CMS retrospective trend calculations
that lowered target prices for episodes, thereby reducing the opportunity for savings. This strategic and timely decision allows the Company to invest more to drive the future growth and diversification of the HCS and Caravan Health businesses supporting the needs of health plans and providers in total cost of care contracts, where they take responsibility for the cost of a patient’s healthcare over the course of a year. The Company anticipates these changes will have a positive impact on 2023 earnings, and will provide additional guidance in its Q2 earnings report in early August. 

“Our HCS segment is experiencing tremendous growth as our health plan clients have prioritized access to the home as part of their focus on closing clinical, behavioral, and social care gaps,” said Kyle Armbrester, Signify Health CEO. “Clients are seeing the value in our unique position: our ability to see patients in the home and refer them to care for the urgent needs we identify. This is particularly so with the social and behavioral needs that are crucial to improving care but are often very hard to assess in traditional care settings. We are making investments to create operational improvements that will increase efficiency, expand use of connected devices, and allow us to diversify into new services to drive better health outcomes in the lives of people we touch.”

The Company’s timing and decision to terminate its participation in the BPCI-A program is driven by recent policies implemented by the Center for Medicare & Medicaid Innovation  (CMMI) affecting BPCI-A pricing that the Company and its clients believe have rendered the program unsustainable. The BPCI-A pricing methodology has changed repeatedly over the years and has recently included the imposition of a retrospective adjustment that is not based on publicly available data, cannot be accurately forecasted, and is known only long after a performance period has ended, making it impossible to take real-time action. The Company is currently in the process of contesting the most recent pricing calculations through CMMI’s standard appeals process and advocating for CMMI to offer providers immediate relief. 


In addressing the decision to end Signify Health’s participation in the BPCI-A program, Mr. Armbrester said, “We made this decision in partnership with our clients, who have repeatedly surpassed benchmarks for quality care and operational improvements with our support— including significant reductions in readmissions and increases in healthy days at home during an extremely challenging period for healthcare.” 

The Caravan Health business is not impacted by these changes. Caravan Health was acquired by Signify Health in March 2022 for its strong capabilities in enabling providers and accountable care organizations (ACOs) to excel in population health management and value-based payment programs. Since the acquisition, this business has continued to outperform as clients align themselves with CMS’ goal of having all Medicare beneficiaries in an accountable relationship with their health care provider by 2030, and recognize the benefits of leveraging Signify’s diverse capabilities in managing the cost for all of the care provided to a patient. This includes the Company’s post-acute and transition to home capabilities, as well as key services from its HCS segment, such as the ability to reach patients in their home in order to better manage their care, which the Company believes will result in incremental savings in 2023.

HARTFORD – May 10, 2022 – Comptroller Natalie Braswell announced today that the state
health plan has launched the next phase of its innovative value-based care payment program, aimed at improving the quality, affordability, and experience of health care for hundreds of thousands of state employees and retirees. Three Connecticut facilities — Women’s Health Connecticut, UConn Health and Trinity Health Of New England’s Saint Francis Hospital — have been designated Centers of Excellence for certain procedures to recognize and reward their demonstrated superior quality of care.

Launched in 2020, the state’s innovative Providers of Distinction program incentivizes the highest-quality care at the lowest possible cost for more than 40 common procedures and conditions including knee replacement, colonoscopy, cataract surgery and care related to pregnancy. By negotiating fixed, guaranteed pricing with providers to coordinate and deliver care across the patient’s care journey, the state reduces variation in costs while improving health care quality and outcomes.

More than 340 providers currently participate in the Providers of Distinction program based on their demonstrated ability to deliver the best health care outcomes for patients at competitive prices. Those covered by the state’s health plan, including members of the Connecticut Partnership Plan, now will automatically receive cash incentives ranging from $100 to $1,000 when they have eligible procedures performed by participating providers. Incentives for both plan members and providers increase based on two provider performance tiers, called Providers of Distinction and Centers of Excellence. Providers of Distinction are those provider organizations that scored higher than their peers in affordability and clinical quality, while Centers of Excellence provider organizations are those who score the highest among their peers in affordability, clinical quality, and additional areas such as process improvement, leadership, clinical innovation, and patient focus. Three provider groups have been designated Centers of Excellence for 2022-2023, including:

● Women’s Health Connecticut for maternity and hysterectomy episodes of care
● UConn Health for maternity, knee replacement and revision, lumbar laminectomy, and
lumbar spine fusion episodes of care
● Trinity Health Of New England’s Saint Francis Hospital for hip replacement and hip
revision, knee replacement and knee revision, lumbar laminectomy, and lumbar spine fusion
episodes of care

In 2021, the State of Connecticut Health Plan was approved by The Centers for Medicare and
Medicaid Services (CMS) as an Advanced Alternative Payment Model (AAPM). With this
designation, eligible doctors, hospitals and provider groups that have contracted with the state may receive certain credit for their participation under the CMS Merit-based Incentive Payment System.

Signify Health supports the State of Connecticut’s Episodes of Care program by identifying,
contracting with and supporting participating providers with services, technology, and analytics, as well as securing fixed, episodes-of-care pricing with high-value network providers.

“Our strong first quarter results demonstrate the significant value we are delivering to our clients as we continue to execute our growth strategy and make strategic investments in our business,” said Kyle Armbrester, Chief Executive Officer of Signify Health. “The investments we have made to support increased customer demand for our comprehensive member evaluations enabled us to reach a record level of 564 thousand evaluations in the first quarter. Investment in people and processes also helped our Episodes of Care and BPCI-A program partners to improve health outcomes for patients and deliver meaningful savings as we continue to manage through the COVID-19 environment and its impact on program size and savings rate.”

Mr. Armbrester continued, “The integration of Caravan Health is progressing well and clients are responding favorably to how the combined capabilities of Signify and Caravan can help them be more successful in their alternative payment strategies. Clients also are expressing interest in tapping into the significant access and scale we have in homes as part of their efforts to manage total cost of care. First Quarter 2022 Financial Results

  • Total revenue for the first quarter increased 20% to $216.5 million, up from $180.0 million in the same period a year ago.  Overall growth in the first quarter of 2022 was driven by a 23% increase in Home & Community Services (HCS) segment revenue to $186.9 million and a 7% increase in Episodes of Care Services (ECS) segment revenue to $29.6 million compared to a year ago.  
  • The strong HCS revenue was a quarterly record and is attributable to an increase in in-home evaluations (IHE) volume, which grew to approximately 564 thousand from approximately 462 thousand in the first quarter of 2021.
  • ECS first quarter revenue growth was driven by an increase in program size and revenue generated by Caravan Health for one-month post acquisition. 
  • First quarter total net loss improved to $16.3 million compared to a net loss of $51.7 million for the same period a year ago.  Net loss included $28.9 million of other expense related to the remeasurement of the fair value of our Equity Appreciation Rights (EAR) due to an increase in the Company’s stock price in the first quarter.
  • Non-GAAP Adjusted EBITDA1 for the first quarter increased 31% to $45.0 million, compared to $34.4 million for the first quarter 2021, driven primarily by HCS revenue growth.
  • Non-GAAP Adjusted EBITDA margin1 for the first quarter was 20.8%, a 170-basis point improvement from the comparable year ago period. 

2022 Outlook

The Company is maintaining its full year 2022 estimates as follows:

  • Total revenue in the range of $948 million to $971 million; and
  • Total adjusted EBITDA1 in the range of $212 million to $222 million.

Signify Health growing rapidly, expects to create 750 new jobs by year end

DALLAS, July 9, 2020—Signify Health, a leading provider of technology-enabled healthcare solutions designed to keep people healthy and happy at home, is expanding its workforce with more than 300 jobs to be filled just during the third and fourth quarters of 2020, the Company announced today. The majority of these new positions, based in Dallas and Rapid City, will support Signify's fast-growing in-home health services and care coordination businesses.

"Health care has become more patient and home-centric at the same time that payers want more value for their healthcare dollar," said David Pierre, Chief Operating Officer. "Signify Health was founded on both of those principles and that's why we are seeing this level of demand for the services we provide."

Signify Health operates the largest field-based network of physicians and nurse practitioners in the country, who are expected to conduct in-home visits with more than 1.5 million people in all 50 states during 2020.

Through the risk assessment process, Signify Health clinicians listen and learn how people live in order to identify personal, social and economic determinants that may contribute to their health. During these visits, which average approximately 60 minutes, Signify Health clinicians build a clinical and social care assessment to identify any gaps-in-care. The clinicians perform diagnostic tests as needed and, in many cases, connect people with the community resources and organizations that can help them. The information is shared with all providers engaged in the person's care to support complete care planning.

These in-home and care coordination services are supported with proprietary logistics systems and mobile technology to capture 300 data points on clinical and social factors per visit.

Signify Health is expanding its workforce with roles to support member engagement, clinician credentialing, business logistics and technology. These new positions will bring the total number of jobs created to approximately 750 for the calendar year.

Dallas - July 8, 2020 - Signify Health, a leading provider of technology-enabled healthcare solutions designed to keep people healthy and happy at home, announced today the executive appointments of Marc Rothman, MD as Chief Medical Officer and Kathleen Tourjee as Chief Human Resources Officer.

Dr. Marc Rothman oversees the clinical quality and program development across Signify Health’s home and community care, episodes of care, and pharma and life science services. Dr. Rothman is triple-board certified in Internal, Geriatric, and Hospice and Palliative Medicine, and is a Certified Medical Director. He brings to Signify Health deep expertise in distinct needs of seniors and their caregivers together with extensive experience in care delivery across acute, post-acute and in-home settings. He is also trained and experienced in disaster preparedness and management and will participate in Signify Health’s response to coronavirus.

“Marc is uniquely qualified to help lead Signify Health’s clinical teams as we make the home an ever more increasingly viable location to deliver social, clinical and behavioral care,” said Kyle Armbrester, Chief Executive Officer. “His medical expertise, provider and payer experience, and support of technology-enabled healthcare solutions will help us advance value-based care using our proprietary models that provide solutions for both the financing and delivery of care while allowing us to share in risk.”

Before joining Signify Health, Dr. Rothman served as Senior Medical Officer at Aspire Healthcare, the nation’s largest provider of in-home, non-hospice palliative care, and before that as the Enterprise Chief Medical Officer at Kindred Healthcare, Inc., the nation’s largest provider of integrated post-acute care services. He previously directed post-acute medical services for the Kaiser Permanente San Francisco Medical Center and practiced geriatric, post-acute, palliative, and home-based primary care medicine with the Permanente Medical Group.

“I am excited to join Signify Health during this time of accelerated growth and change. Our traditional healthcare system is undergoing a big transformation toward value-based care and Signify Health is at the forefront,” said Dr. Rothman. “I am eager to lead this shift toward keeping people healthy and happy in their homes and communities.”

A graduate of the New York University School of Medicine, Dr. Rothman completed his internship and residency in Internal Medicine, and fellowships in Geriatric Medicine and Clinical Epidemiology, at the Yale University School of Medicine. He is also the founder of the Dementia Spring Foundation, a non-profit 501(c)(3) organization focused on improving quality of life for persons with dementia, their families, and caregivers, and he is a director of the HealthDrive Corp. in Boston, MA, which provides ancillary clinical/medical services to custodial nursing home residents in multiple states.

Kathleen Tourjee leads the Signify Health Human Resources function. Tourjee brings more than 25 years of diverse human resources experience from mid- to large-sized global organizations and has served in leadership roles at both public and private healthcare companies, including WebMD and Pfizer.

Prior to joining WebMD, Tourjee was with Pfizer where she started as a chemical process engineer in pharmaceutical manufacturing, but eventually switched to human resources where she progressed through increasing levels of responsibility to lead the global compensation, benefits and wellness programs.
